WJD Foods – Trade Supply
Effective Date: January 2026
These Terms & Conditions apply to all wholesale supply transactions between WJD Foods (“Supplier”, “we”, “us”, “our”) and the business customer (“Customer”, “you”).
1.1 All sales are strictly business-to-business (B2B).
1.2 By placing an order, you confirm you are acting in the course of business.
1.3 Consumer protection laws do not apply.
2.1 Direct-from-Supplier Wholesale Orders
Unless expressly agreed otherwise in writing by WJD Foods:
The minimum order quantity is eight (8) full pallets per order.
2.2 Orders below this minimum may be refused, delayed, or re-priced.
3.1 All prices are exclusive of VAT unless stated.
3.2 Prices may change due to market volatility, supplier cost changes, or availability.
3.3 Pricing errors may result in correction or cancellation.
4.1 All orders are subject to acceptance by WJD Foods.
4.2 A binding contract is formed only upon:

Goods remain the property of WJD Foods until paid for in full.
All deliveries are governed by Incoterms® 2020, as agreed:
Unloading remains the Customer’s responsibility unless agreed otherwise.
8.1 Delivery dates are estimates only.
8.2 Goods must be inspected immediately upon receipt.
8.3 Claims for shortages, damage, or incorrect supply must be reported within:
24 hours of delivery
Claims submitted after this period may be rejected.
Due to the nature of seafood products:
10.1 Liability is limited to the invoice value of goods supplied.
10.2 We are not liable for indirect or consequential losses, including loss of profit.
We are not liable for delays caused by events beyond our reasonable control, including transport disruption, supply shortages, or extreme weather.
These Terms are governed by the laws of England and Wales.
Courts of England and Wales have exclusive jurisdiction.
